1. Agreement
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "user", "customer") and Vistraal Private Limited ("Vistraal", "we", "us"), a company incorporated under the laws of India with its registered office at 2/3B,Madanapalle,Andhra Pradesh,India,517325, governing your use of vistraal.com and our products and services, including SitesFare (sitesfare.com), Naadham (naadham.ai), PillCycle (iOS application), and the Vistraal AI Marketplace (marketplace.vistraal.com) (collectively, the "Services").
Individual products may publish supplementary product-specific terms. Where they exist, they apply in addition to these Terms and prevail in case of conflict for that product.
2. Eligibility & accounts
- You must be at least 18 years of age, or use the Services under the supervision of a parent or legal guardian, and be capable of entering into a binding contract under the Indian Contract Act, 1872.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You agree to provide accurate, current and complete information, and to keep it updated.
- We may suspend or terminate accounts that violate these Terms, applicable law, or the rights of others.
3. Services description
- SitesFare — a website building and hosting platform with templates, an in-browser editor, custom domains, e-commerce and booking modules, and code deployment from Git repositories.
- Naadham — an AI receptionist service for clinics and hospitals providing automated call answering, appointment booking, and omnichannel follow-up. Naadham does not provide medical advice; it informs, books appointments, and escalates to human staff.
- PillCycle — a medication reminder application with family care-team features and a hospital portal. PillCycle is not a medical device and does not provide medical advice; always follow the instructions of your healthcare provider.
- Vistraal AI Marketplace — a platform where creators list AI agents and buyers access them on a per-API-call basis. Vistraal acts as an intermediary between creators and buyers.
4. Payments, pricing & taxes
- Prices for paid Services are published on the respective product website or on our pricing page before purchase. All prices are in Indian Rupees (INR) unless stated otherwise; taxes (including GST) are applied as required by law.
- Payments are processed by our authorised payment partners, Razorpay and Stripe. By making a payment, you also agree to the applicable terms of the payment processor. We do not store your card or banking credentials.
- Prepaid credits (such as Naadham minute packs) are non-transferable and usable only within the purchasing account.
- Failure of payment, chargebacks, or fraudulent transactions may result in suspension of the associated Services.
- Cancellations and refunds are governed by our Cancellation & Refund Policy; delivery of purchased services is described in our Service Delivery Policy.
5. User content & conduct
You retain ownership of content you create or upload (websites, agent configurations, listings, health data). You grant Vistraal a limited, non-exclusive licence to host, process and display that content solely to provide the Services.
You agree not to use the Services to:
- Violate any applicable law, including the Information Technology Act, 2000 and rules thereunder;
- Host, publish or transmit content that is unlawful, defamatory, obscene, infringing, or harmful to children;
- Send spam, make unlawful automated calls, or violate TRAI regulations (including do-not-call registries and permitted calling hours);
- Infringe intellectual property, privacy, or other rights of any person;
- Interfere with, disrupt, reverse-engineer, or attempt unauthorised access to the Services;
- List or distribute AI agents on the Marketplace that are malicious, deceptive, or violate third-party terms or applicable law.
We may remove content or suspend Services that violate these Terms, with notice where feasible.
6. Marketplace-specific terms
- Creators set per-API-call pricing for their listed agents and warrant they have all rights necessary to list them.
- Platform fees and payout schedules are disclosed at listing time and may be updated with notice.
- Vistraal does not guarantee the accuracy, performance, or fitness of third-party agents; buyers use them at their own discretion.
- Creators are responsible for taxes on their earnings; Vistraal may withhold taxes where required by law.
7. Intellectual property
The Services, including software, design, trademarks (including "Vistraal", "SitesFare", "Naadham", "PillCycle"), and content created by us, are owned by Vistraal Private Limited or its licensors and protected by Indian and international IP laws. Nothing in these Terms grants you rights in our IP except the limited right to use the Services as intended.
8. Health & safety disclaimers
- PillCycle and Naadham support healthcare workflows but are not substitutes for professional medical judgment, diagnosis, or treatment.
- Reminder and notification delivery depends on device settings, network availability, and operating-system behaviour; do not rely solely on the app for critical medication schedules.
- In a medical emergency, contact your local emergency services immediately.
9. Availability & changes
We aim for high availability but do not guarantee uninterrupted, error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. Scheduled maintenance will be communicated in advance where feasible.
10. Limitation of liability
To the maximum extent permitted by law: (a) the Services are provided "as is" and "as available" without warranties of any kind, express or implied; (b) Vistraal shall not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data, or goodwill; and (c) our aggregate liability for any claim arising out of or relating to the Services shall not exceed the amount you paid to Vistraal for the Service giving rise to the claim in the 12 months preceding the claim, or ₹10,000, whichever is higher. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnity
You agree to indemnify and hold harmless Vistraal, its directors, employees and agents from claims, damages and expenses (including reasonable legal fees) arising from your content, your use of the Services in violation of these Terms, or your violation of applicable law or third-party rights.
12. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access for breach of these Terms, unlawful activity, or extended non-payment, with notice where feasible. Upon termination, provisions that by nature survive (IP, disclaimers, limitation of liability, governing law) continue to apply.
13. Governing law & disputes
These Terms are governed by the laws of India. Subject to applicable law, the courts at Madanapalle, India shall have exclusive jurisdiction over disputes arising from these Terms or the Services. We encourage you to contact us first — most issues are resolved quickly through our grievance process.
14. Grievance redressal
Complaints or grievances may be addressed to our Grievance Officer (details on the Contact page). Grievances are acknowledged within 24 hours and resolved within 15 days, in line with applicable Indian regulations.
15. Changes to these terms
We may revise these Terms from time to time. Material changes will be notified via the website or email at least 7 days before taking effect. Continued use after the effective date constitutes acceptance.
